Abreu Advogados advised Plasman Europe, a Swedish company belonging to the Plasman group, on the sale of the entire share capital of Plasman Portugal to the US company JAC Products, Inc. The operation involved the transfer of 100% of the share capital of the Portuguese subsidiary.
The team responsible for the advisory was led by partner César Bessa Monteiro, jr and of counsel Cláudia Santos Malaquias, also counting on the support of partner Armando Martins Ferreira, senior associate José Maria Alves Pereira and associate Rodrigo Cóias.
The legal advisory covered all Portuguese law matters related to the transaction, including the prior restructuring of the target company's corporate structure and equity carried out before the operation, support for the seller's due diligence process and the drafting and negotiation of the share purchase agreement and the remaining associated documentation.
The operation also covered the corporate, labor, tax, real estate, environmental and competition law aspects, as well as the merger control analysis.
