Abreu Advogados advised on the sale of Dura Automotive's global driving control systems business in Portugal. The operation involved the transfer of 100% of the share capital of Dura Automotive Portuguesa – Indústria de Componentes para Automóveis, Lda., by two companies of the German group to an acquisition vehicle incorporated in the United States, in a transnational carve-out structure.
The team was led by partner César Bessa Monteiro Jr. and of counsel Cláudia Santos Malaquias, and also included partners Nuno Luís Sapateiro, Patrícia Viana and Ricardo Henriques, of counsel Joana Maldonado Reis, Madalena Bernardes Coelho and Patrícia Perestrelo, senior associate Bárbara Quintas Soares and associate Martim Cardoso da Silva.
The technical support included the analysis of the purchase and sale agreement, closing documentation, corporate approvals, the onboarding of the acquirer in Portuguese tax formalities and the execution of the intra-group restructuring operations necessary for closing. Abreu Advogados acted as Portuguese legal counsel to the sellers, coordinating the operation with multiple legal advisors in multiple jurisdictions.
This transaction consolidates the law firm's position as a reference in transnational M&A operations, particularly in the automotive and industrial sectors.
