Does a lease continue after the landlord's death? Portuguese law may surprise you

In Portugal, the death of the landlord does not, by itself, determine the end of the lease contract. When the property belonged to the deceased in full ownership, the landlord's position forms part of the estate and the contract continues on the terms on which it was entered into. Article 1057 of the Civil Code establishes that whoever acquires the right on which the contract was based succeeds to the landlord's rights and obligations. Thus, heirs cannot demand a new contract, freely alter the rent, or force the tenant to leave early. The obligation to pay rent is not suspended by the death, and the tenant should be informed about who represents the estate and how to continue payments.

There is, however, an important exception when the landlord was not the full owner, but merely a usufructuary. According to Article 1476 of the Civil Code, the usufruct is extinguished upon the death of the usufructuary, and the lease may lapse under Article 1051. In a ruling of February 2025, the Porto Court of Appeal held that the death of the usufructuary landlady extinguished the usufruct and caused the contract to lapse. However, the Lisbon Court of Appeal ruled differently in a case of April 2024, in which the landlady was the full owner when she entered into the contract and only later donated the property while reserving the usufruct for herself, concluding that the contract did not lapse.

Even when lapse occurs due to the extinction of the usufruct, the owner cannot demand immediate delivery of the property. Article 1053 of the Civil Code provides that the return of the property can only be demanded six months after the event that caused the lapse. If the tenant does not voluntarily deliver the property, the owner will have to use available legal means and cannot proceed with the removal of belongings or changing the locks on their own initiative.

The analysis should not be limited to the situation existing on the day of death. The contract, the date of its signing, and the property records are decisive in determining whether the lease continues or lapses. The legal status of the property can be verified through the permanent land registration certificate, which allows consultation of the registrations in force, including the identity of the owner and any registered rights or encumbrances.

Uma mudança inesperada na pessoa que recebe a renda pode gerar dúvidas sobre pagamentos, prazos e permanência na habitação. Contudo, as condições assinadas num contrato de arrendamento não desaparecem apenas porque o imóvel passou para outras mãos.

Em Portugal, a morte do senhorio não determina, por si só, o fim do contrato de arrendamento. Quando o imóvel pertencia ao falecido em propriedade plena, a posição de senhorio integra a herança e o contrato mantém-se nos termos em que foi celebrado.

Morte do proprietário não acaba com arrendamento

O artigo 1057.º do Código Civil (CC) estabelece que quem adquire o direito com base no qual o contrato foi celebrado sucede nos direitos e nas obrigações do senhorio, sem prejuízo das regras do registo.

Assim, os herdeiros não podem exigir a assinatura de um novo contrato, alterar livremente a renda ou obrigar o inquilino a sair antecipadamente apenas porque o proprietário morreu. O prazo, o valor da renda e as restantes condições continuam a ser os que resultam do contrato e da legislação portuguesa.

Herança assume posição do senhorio

De acordo com o artigo 2031.º do CC, a sucessão abre-se no momento da morte. Enquanto a herança não for partilhada, o imóvel permanece integrado na herança indivisa, cuja administração pertence normalmente ao cabeça de casal, nos termos do artigo 2079.º.

O inquilino deve ser informado sobre quem representa a herança e sobre a forma como deverá continuar a pagar a renda. Antes de alterar o destinatário dos pagamentos, deve pedir uma comunicação escrita e elementos que permitam confirmar a legitimidade de quem se apresenta como representante dos herdeiros.

A morte do senhorio não suspende a obrigação de pagar a renda. Em caso de dúvida sobre o novo destinatário ou sobre o IBAN indicado, o arrendatário deve guardar toda a correspondência e procurar esclarecimento jurídico antes de interromper os pagamentos.

Exceção importante quando senhorio era usufrutuário

A situação pode ser diferente quando a pessoa que celebrou o contrato não era proprietária plena, mas apenas usufrutuária do imóvel. O usufrutuário pode usar, administrar e arrendar o bem, embora o seu direito tenha natureza temporária.

Segundo o artigo 1476.º do CC, o usufruto extingue-se, designadamente, com a morte do usufrutuário. Quando o contrato tiver sido celebrado com base nesse direito, o arrendamento pode caducar ao abrigo da alínea c) do artigo 1051.º, ressalvadas as exceções previstas no artigo 1052.º.

Este entendimento tem sido seguido pelos tribunais portugueses. Num acórdão de fevereiro de 2025, o Tribunal da Relação do Porto considerou que a morte do senhorio usufrutuário extinguiu o usufruto e provocou a caducidade do contrato celebrado nessa qualidade.

Importa saber como o contrato foi originalmente assinado

Não basta verificar se o senhorio era usufrutuário no momento em que morreu. É necessário perceber qual era a sua qualidade quando celebrou o contrato de arrendamento.

O Tribunal da Relação de Lisboa analisou uma situação em que a senhoria era proprietária plena quando arrendou a habitação, tendo posteriormente doado o imóvel e reservado para si o usufruto. Num acórdão de abril de 2024, o tribunal concluiu que o contrato não caducou com a morte da usufrutuária, porque tinha sido originalmente celebrado com base no direito de propriedade.

Por isso, a análise não deve limitar-se à situação existente no dia do falecimento. O contrato, a data da sua assinatura e os registos do imóvel podem ser determinantes para saber se o arrendamento continua ou caduca.

Inquilino não tem de sair imediatamente

Mesmo quando ocorre a caducidade por extinção do usufruto, o proprietário não pode exigir a entrega imediata da habitação. O artigo 1053.º do CC determina que a restituição do imóvel apenas pode ser exigida seis meses depois do facto que provocou a caducidade.

No caso da morte do usufrutuário, esse prazo conta-se, em princípio, a partir do falecimento. Se o inquilino não entregar voluntariamente a habitação depois de a restituição se tornar exigível, o proprietário terá de utilizar os meios legais disponíveis, não podendo proceder à retirada de bens ou à mudança das fechaduras por iniciativa própria.

Como confirmar quem é proprietário ou usufrutuário

A situação jurídica do imóvel pode ser verificada através da certidão permanente do registo predial. Este documento permite consultar os registos em vigor, incluindo a identidade do proprietário e os direitos ou encargos registados sobre a habitação.

A certidão pode ser pedida nos serviços do registo ou através dos serviços de Registo Predial da Justiça. No entanto, quando existe um usufruto ou uma transmissão antiga, poderá também ser necessário consultar o contrato, escrituras e registos anteriores.
