Semapa confirms merger of Queiroz Pereira heirs' holdings. Sodim takes control of 82%

Semapa notified the CMVM that Pedro Queiroz Pereira's heirs completed the merger of the two holdings through which they controlled approximately 82% of Semapa. The operation consisted of incorporating Cimo's assets into Sodim, with both companies being wholly owned by the three daughters of the former businessman: Filipa, Mafalda and Lua Queiroz Pereira. After the merger, the 66,468,323 Semapa shares, representing 81.787% of the share capital and voting rights, became directly owned by Sodim.

The merger project aimed to simplify the group's structure and make it easier to manage direct and indirect holdings in Semapa. The heirs also stated that the operation would allow for synergies through the rationalization of administrative costs, including costs associated with compliance with legal obligations such as account certification, registrations, publications and accounting and tax obligations.

Semapa is an investment holding company founded in the early 1990s by Pedro Queiroz Pereira, who passed away in 2018. The group has interests in various areas, namely in the paper sector through Navigator, which it controls 70% of, but also in animal nutrition through ETSA, bicycles through Triangle, metal structures through Imedexa and energy through Utis.

The group, led by Ricardo Pires, has more than one billion euros to invest and is exploring acquisition opportunities in Europe. It recently sold Secil for approximately 1.4 billion euros, including debt, which allowed Semapa to record profits of 570 million in the first half of this year.
