CVM gives Centaurus 60 days to make a tender offer to all minority shareholders

The Securities and Exchange Commission (CVM) decided unanimously to require the American asset manager Centaurus to carry out a public tender offer (OPA) for all minority shareholders of Oncoclínicas, with a deadline of 60 days from August 25, ending on October 25. The regulator set November 4, 2024 as the triggering event for the OPA, the date on which the Josephina III fund, managed by Centaurus, reached 16.05% of the company's shares, triggering Oncoclínicas' poison pill clause. The CVM defined that all shareholders with shares up to the day before the OPA will be able to participate in the offer, whose value must be higher than initially expected by the market.
